Terms of Service and Software Licence

1. Scope and agreement

These Terms govern your use of the Side Whisper website, waitlist, account area, protected downloads, early-access program, and Side Whisper Windows application. By creating an account, accepting an invitation, downloading the software, or using the service, you agree to these Terms and the Privacy Policy.

If you do not agree, do not use the service or software. Additional terms presented by Microsoft Store or another authorised distribution channel may also apply.

2. Operator and contact

Side Whisper is operated by Crăciun Cosmin Viorel PFA, Romania, trading as Side Whisper. Legal, support, and business contact details should be completed and verified before launch.

3. Eligibility and accounts

• You must be legally capable of entering this agreement.
• If you use Side Whisper for an organisation, you confirm that you are authorised to bind that organisation.
• You must provide accurate account information and protect your sign-in methods and devices.
• You are responsible for activity performed through your account, except where applicable law assigns responsibility differently.
• Accounts, invitations, licences, and access rights may not be sold, shared, or transferred unless Side Whisper expressly allows it.

4. Early access

Early access may be invitation-only, capacity-limited, incomplete, and changed frequently. Joining a waitlist does not guarantee an invitation, a specific date, a permanent feature, a price, or continued access.

Preview features, including plan labels and Pro indicators, may be shown before checkout and paid enforcement are enabled. A preview is not a binding commercial offer.

5. Software licence

Subject to these Terms and your valid access entitlement, Side Whisper grants you a limited, personal, revocable, non-exclusive, non-transferable licence to install and use the software on the number of permitted devices.

The software is licensed, not sold. You receive no ownership interest in Side Whisper, its source code, brand, interfaces, documentation, or bundled assets.

6. Acceptable use

You must not:

• use Side Whisper unlawfully or to violate another person’s rights;
• bypass account, entitlement, device, download, security, or distribution controls;
• probe, attack, overload, disrupt, or gain unauthorised access to the website, backend, accounts, or release systems;
• reverse engineer or modify the software except where applicable law expressly permits it despite this restriction;
• redistribute protected builds, access tokens, session files, or other credentials;
• use the browser, overlay, automation, or voice features to evade third-party rules, anti-cheat controls, access restrictions, or legal obligations.

7. Websites and third-party services

Side Whisper can display third-party websites and connect to services including Microsoft, Clerk, Convex, Resend, Vercel, GitHub, Hugging Face, and other sites you choose. Those services are independent and governed by their own terms, privacy policies, availability, content, and security controls.

Side Whisper does not guarantee that every website, sign-in flow, protected video, payment flow, extension, game, or anti-cheat system will work inside an Electron browser window or overlay.

8. Voice, browser, and Gaming features

• Local transcription may contain errors. Review important text before sending, publishing, or relying on it.
• Dictionary and Snippet expansion can alter dictated text automatically according to your local configuration.
• Browser downloads, permissions, website sessions, and imported session files can carry security risks. Review sources and delete sensitive exports when no longer needed.
• Gaming overlays and telemetry depend on Windows, graphics drivers, game window mode, permissions, anti-cheat software, and locally available counters. Unavailable data is not a promise of compatibility or performance.

9. Plans, purchases, and devices

Current early-access entitlements may be free, time-limited, or manually granted. Final Free and Pro pricing, included features, renewal terms, taxes, payment methods, and Store fulfilment will be displayed before a paid transaction becomes available.

Side Whisper currently supports up to three active devices per account. Registering, refreshing, replacing, or revoking a device may change access on that installation. A bounded offline grace period may be available after a successful online validation but is not permanent access.

Purchases made through Microsoft Store are also subject to Microsoft’s billing, cancellation, refund, tax, and account rules.

10. Updates and availability

Side Whisper may provide security fixes, compatibility updates, feature changes, removals, or migrations. Microsoft Store builds use Store-managed updates; authorised non-Store builds may use approved update channels.

The service may be interrupted for maintenance, security, provider outages, legal requirements, or events outside reasonable control. Side Whisper does not promise uninterrupted availability.

11. Intellectual property

Side Whisper and its original software, website, documentation, design, trademarks, and brand assets are protected by applicable intellectual-property laws. Third-party components remain subject to their own licences and notices.

12. Feedback

If you voluntarily provide product feedback or suggestions, you grant Side Whisper a worldwide, perpetual, irrevocable, royalty-free right to use that feedback to improve and operate the product, without identifying you publicly unless you consent.

13. Privacy

The Privacy Policy explains what is processed by the website and account services, what remains on your device, applicable legal bases, retention, processors, and your GDPR rights. The Cookie Notice explains essential authentication storage and optional analytics.

14. EU consumer rights

Nothing in these Terms limits mandatory rights available to consumers under Romanian or European Union law, including rules for digital content and services, conformity, remedies, unfair terms, and applicable withdrawal or refund rights.

Where you expressly request immediate supply of paid digital content and acknowledge loss of a withdrawal right after supply begins, the checkout flow must collect that acknowledgement as required by law. Until paid checkout is implemented, this clause describes the intended compliance requirement rather than a live purchase flow.

15. Warranties

To the maximum extent permitted by law, preview and early-access software is provided on an “as available” basis. Side Whisper does not make promises beyond those expressly stated in these Terms. Mandatory statutory guarantees and remedies remain unaffected.

16. Liability

Nothing excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer remedies.

Subject to those rights, Side Whisper is not responsible for indirect or unforeseeable loss, loss caused by third-party websites or services, user-provided content or configuration, unsupported games or environments, or failure to follow security, backup, and update guidance.

17. Suspension and termination

You may stop using Side Whisper at any time. Side Whisper may restrict or terminate access where reasonably necessary for security, abuse prevention, legal compliance, non-payment, licence violations, or material breach. Where appropriate and lawful, we will provide notice and an opportunity to resolve the issue.

18. Changes

These Terms may change to reflect product, provider, legal, security, or commercial updates. Material changes will be communicated through an appropriate channel and, where required, renewed acceptance will be requested.

19. Governing law and disputes

These Terms are governed by Romanian law, without removing any mandatory protections you have under the law of your country of residence. Consumers may bring claims in any court available under applicable consumer law. The parties should first attempt to resolve concerns through direct contact.

20. Contact

Before launch, Side Whisper must publish a verified legal notice containing the operator’s registered address, registration and tax identifiers where required, and dedicated support and legal email addresses.
